This is a short summary of the terms on which EnergySignal (EnergySignal s.r.o., IČO 29784301, registered in the Commercial Register kept by the Municipal Court in Prague, File No. C 452338, with its registered seat at Na Folimance 2155/15, Vinohrady, 120 00 Praha 2, Czech Republic) gives you access to an interactive model. It is written to be read quickly. The full Terms and Conditions of Model Access govern, and this summary does not replace them.
You are being given access to a private, interactive EnergySignal model so that we can explore a possible opportunity together. It is for your own evaluation only.
Everything in the model is an adjustable estimate, not an offer, a promise, or advice. Nothing you see creates a contract. Any deal would be set out in separate, signed agreements, and you should take your own advice before acting on anything.
The model and what is in it, and the fact and content of our discussions, are confidential. Please do not share them, and use them only to assess the opportunity with us. Anything you submit through the model is treated by us as confidential in return.
The model, its design, and its method remain EnergySignal’s property. You are welcome to view and use it for this purpose, but not to copy it, rebuild it, or use it to develop or pursue a similar arrangement without us.
EnergySignal’s role is to find and structure opportunities and to introduce the parties, acting as intermediary, whether in computing, energy generation, storage, trading, offtake, or grid and heat. If we introduce you to a party or an opportunity, please pursue it with us rather than around us. This applies while we are in discussions and for twenty-four months after the later of your last access to the model and our last written exchange on that opportunity. The full Terms provide for an agreed contractual penalty, the greater of a fixed amount and a percentage of the transaction value in its first year, if this is not respected. The period runs in full even if information about the party or the opportunity becomes public in the meantime, including where the law requires it to be reported or published.
Two practical duties sit alongside this: if you already have a relationship with a party we introduce, you must tell us in writing within ten business days of the introduction for that pre-existing relationship to be recognised; and if you begin negotiating or conclude a transaction with an introduced party during this period, you must notify us in writing within ten business days.
Access is given to you by name, against the email address we hold. If you access on behalf of an organisation, you accept for that organisation as well, and the terms bind you both. Your access and your acceptance of the terms are recorded, with the date and time.
We can update or withdraw the model at any time. We are not obliged to proceed, and remain free to work with others. Our liability in connection with the model is capped at a fixed amount, set out in clause 4.7 of the full Terms. These terms are governed by Czech law, with the courts in Prague.
When you enter your name and email address and tick the box, you accept these terms. The full Terms and Conditions of Model Access apply and govern in full, whether or not you open them. By ticking the box you also specifically accept the two terms highlighted above: the cap on our liability, and the contractual penalty if an introduced opportunity is taken around us.
